Anubhav Gupta is a Partner and Head of the Commercial & Corporate Law Practice at Khurana & Khurana. With over twelve years of experience, he advises government bodies, public sector undertakings, multinational corporations, and high‑growth enterprises on complex corporate, commercial, and transactional mandates across sectors such as defence R&D, aerospace, semiconductors, advanced computing, renewable energy, infrastructure, and technology‑led businesses.
His transactional practice covers domestic and cross‑border mergers and acquisitions, joint ventures, strategic investments, and venture capital and private equity deals. He regularly advises promoters, investors, and boards on transaction structuring, legal due diligence, and negotiation of key documentation, including shareholders’ and share subscription agreements, business transfer agreements, and investment and exit arrangements.
Anubhav is also a trusted advisor on complex commercial arrangements, including technology transfer and IP licensing, strategic collaborations and consortium structures, PPP and procurement mandates.
Anubhav has a strong focus on IP-backed financing, business and IP valuation, and tax-efficient structuring. He advises on valuation-linked mandates involving patents, trademarks, know-how, and technology assets, working closely with valuation professionals and lenders to align legal structures with financial models and regulatory requirements. Drawing on his background in direct and indirect taxation, he provides tax advisory support on GST and legacy regimes, tax due diligence, and transaction structuring, enabling clients to manage both legal and tax risk in an integrated manner.
Within the firm, he leads a multidisciplinary team and frequently acts as an extension of clients’ in‑house legal team on governance, founder and shareholder matters, employment law, and ESOP design.
A Chartered Accountant and Cost Accountant, and a law graduate from the prestigious Campus Law Centre, University of Delhi, Anubhav combines legal, tax, finance, and valuation expertise to deliver commercially aligned, outcome‑oriented advice.
